BrainEscape 369 — Terms of Service

1. Agreement

By engaging BrainEscape 369 for services, you ("Client") agree

to these Terms of Service. BrainEscape 369 ("we," "us," "our")

is a social media management and AI-powered growth agency

headquartered in Kinston, North Carolina.

These terms govern all service packages including Starter,

Growth, and Pro.

2. Services

BrainEscape 369 provides done-for-you digital services

including but not limited to:

- Social media content creation and posting (Instagram,

Facebook, Google Business Profile, LinkedIn, YouTube,

TikTok, Threads, Bluesky, and other platforms)

- Caption writing and hashtag strategy

- Monthly content calendars and performance reports

- Reputation management, review generation, and

monitoring

- 24/7 AI voice answering and appointment booking (Xara)

- AI-powered website and social chat engagement

- Database reactivation and lead follow-up automation

- White-glove onboarding and custom AI training

Specific services delivered depend on the package

subscribed to by the Client.

3. Payment Terms

3.1 All services are billed monthly in advance.

3.2 Pricing:

- Starter: $497/month

- Growth: $797/month

- Pro: $1,197/month

3.3 No long-term contract is required. Services are

month-to-month.

3.4 Payments are due on the same date each month

corresponding to the original start date.

3.5 Late or failed payments may result in suspension

of services until payment is received.

3.6 No refunds are issued for partial months or

unused service periods.

4. No Contract — Cancellation Policy

4.1 Either party may cancel services with 30 days

written notice sent to [email protected].

4.2 Services will continue through the end of the

paid billing period following notice.

4.3 BrainEscape 369 reserves the right to terminate

services immediately for violations of these terms.

5. Client Responsibilities

The Client agrees to:

- Provide accurate business information, brand assets,

and content direction via the Client Intake Form

- Grant necessary access to social media accounts and

platforms required to deliver services

- Review and approve content calendars when requested

within 48 hours to avoid posting delays

- Notify BrainEscape 369 of any brand changes,

promotions, or content restrictions in a timely manner

- Ensure all provided materials (logos, images, copy)

do not infringe on third-party intellectual property

6. Intellectual Property

6.1 All content created by BrainEscape 369 on behalf

of the Client becomes the Client's property upon

full payment for that month's services.

6.2 BrainEscape 369 retains the right to display work

created for Clients in portfolios or case studies

unless the Client requests otherwise in writing.

6.3 BrainEscape 369 retains ownership of its

proprietary systems, AI tools, workflows,

templates, and processes.

7. AI-Powered Services

7.1 The Pro package includes AI voice (Xara), AI chat,

automated follow-ups, and database reactivation.

These tools operate automatically and may send

communications to leads and contacts on behalf

of the Client.

7.2 The Client is responsible for ensuring that all

contacts in their database have consented to

receive communications in compliance with

applicable laws including TCPA and CAN-SPAM.

7.3 Performance results stated in marketing materials

(e.g., +23 appointments/month, $8,200 recovery)

represent averages and are not guaranteed outcomes.

8. Limitation of Liability

8.1 BrainEscape 369 is not liable for:

- Changes to social media platform algorithms

or policies that affect content performance

- Account suspensions or restrictions imposed

by third-party platforms

- Loss of revenue, leads, or business resulting

from service interruptions

- Results from AI tools that fall below projected

averages

8.2 Our total liability in any dispute shall not

exceed the total fees paid by the Client in the

30 days prior to the claim.

9. Confidentiality

Both parties agree to keep confidential any

proprietary business information, strategies,

pricing, or systems shared during the service

relationship and not disclose them to third parties

without written consent.

10. Communication Policy

All client communication is handled via email.

Unscheduled calls are not offered. For urgent

11. Modifications to Terms

BrainEscape 369 reserves the right to update these

terms at any time. Clients will be notified via

email. Continued use of services after notification

constitutes acceptance of the updated terms.

12. Governing Law

These Terms of Service are governed by the laws

of the State of North Carolina, United States.

Any disputes shall be resolved in the courts of

Lenoir County, North Carolina.
